Opening a US business — step-by-step timeline

From first consultation to fully working company with bank account

  1. Day 1

    Consultation

    60-minute video call. We analyze your situation, pick state and structure, build a personalized roadmap and document list. After the call you receive a written summary with action items and timeline.

  2. Day 2–3

    Document preparation

    I prepare Articles of Organization, Operating Agreement, and supporting documents. You provide your passport and complete a short questionnaire (owner details, business address, registered agent preference).

  3. Day 4–10

    State LLC registration

    We file Articles with the Secretary of State. Online processing typically 1–7 days (depending on state — Delaware faster, NY slower). After approval you receive a Certificate of Formation.

  4. In parallel

    Operating Agreement

    We sign the Operating Agreement (internal LLC document governing ownership and management). Russian translation of key terms provided. This is not filed with the state but kept by the LLC and banks may request it.

  5. 1–3 weeks

    EIN from IRS

    For non-residents EIN is obtained via fax/mail with Form SS-4. I submit on your behalf — accelerates to 1–2 weeks instead of standard 4–6. Without EIN you cannot open a bank account or accept payments.

  6. Week 3–4

    Bank account

It protects personal assets from business debts and lawsuits, has flexible default pass-through taxation, is available to non-residents (no SSN, GC, or US residency required), costs little ($200–500 first year + state fees), and can convert to C-Corp later if VC funding becomes a goal.
